While it possible to export certain scene elements from MAX (in OBJ or 3DS and sometime Collada), the VRay shaders do not directly translate. VRay is a specialized rendering system with it's own material definitions.
Also, if the scene contains objects in VRmesh format, those only export as a point cloud and are not readily usable in Poser

To my knowledge the only thing that opens .MAX files is MAX.

No.

not unless you have a copy of Max to do the conversion.

Supposedly the demo version of Max will allow you to export in .obj format that Poser can use. If the model has bitmap textures eg. .jpg images, you can use those. The VRay or MentalRay shaders used in Max aren't going to be useful.

I have a friend do it for me. Though I'm not sure if his copy is legal or not.

Doesn't 3DS MAX's VRAY has material converter from general material to VRAY material?
In case of CINEMA4D's VRAY, just convert poser material to vray material with one click
then I can render poser scene or object at C4D with vray...

Yes, but I need convert not a poser matirial fo 3ds max, but 3ds max for poser

Oh, it's easy to convert 3DS MAX object to POSER.
Just export your 3DS MAX object with OBJ file format for POSER. You can see 'POSER'
preset obj. file when exporting OBJ.file from 3DS-MAX obj export window.
Of course export material library and texture at the same folder at where OBJ. mesh file saved.
Then at POSER, select File -> import -> wave front OBJ. Select your 3DS-MAX generated obj. It's all done. I love editing external meshs at 3DS-MAX and import
them to POSER oftenly because of 3DS-MAX's powerful mesh-element selection :)

You have to have a copy of a pretty expensive program to do that.

Theoretically:?
File - Export - .obj
