Does anyone know where can I find a good software that converts MAX files to 3DS files I've got already 3D Exploration but it does not convert MAX files.

I think only 3d Studio Max can read max files

i think you may be misunderstanding something. a max file contains all the datas about light, key frames, anims etc... it's a whole scene in there! Whereas a 3ds file is just a model, a mesh, an object! u cannot convert your animation settings to an object: it's impossible to convert a max file to 3ds one.
