i am going to revamp my poserpro with the gen4 chars- i am wondering what is this "powerloader" and do i really need it?

IIRC, PowerLoader is a helper script for D|S (that loads morphs) so it's of no use for Poser.

what is the difference btw v4 and v4.2? are the mats, morphs and gear interchangable?

Different iterations of the same model, just some minor fixes and improvements.  You will not find the original V4 anywhere, just V4.2.  And everything applicable to the original should work with the updated version.

The Elite series provides additional morphs and higher res textures for V4.2.  Not exactly necessary, not many vendors provide those features in their products.

ok- so basically longer render times for slight increase in pic quality- got it
and since i have your ear - how do gen3 mats work on gen4? i am guess there is a slight size difference, so one would have to tweak the texture elsewhere then apply it manually.
am i close?

Gen3 mats and textures are not compatible with Gen4 figures.

There are a few remaps out there where you can fit a texture from one model onto another. dphoadley has some.

i am not too worried- i just have to get used to the change - i will manage =o) just need to finish up a few things with the gen3's then revamp
oh btw laurie i looked at ya gallery- nice work!
