When I asked the same question some time ago I got the answer that .max files are 3d studio max scene files and .3ds is 3d studio max object files. So if you want a .max file converted to .3ds or .obj, you have to open the file in 3d studio max(or if you are a poor fellow like me, send it to someone who has got 3d Studio max) and group the entire scene and then export that group as an object.
rster, Svaelt is correct in that ".max" files are 3DS scene files just like Bryce's scene files are ".br5" format and those can't be directly converted either. We can only extract and export the objects in the scene as some other format but in either case, you must have the software to do that (Bryce or 3DS).

Hey there its been a while. I would like to know if there is any free stand alone software out there to convert .max file to .obj files so that I can import them into bryce. If you know of any leave a link or the name. Its greatly apreciated. Thanks
